Build from a structured index

Use a template, upload only folder metadata, and export an empty folder skeleton.

Why generate from the index

A structured workflow beats manual folder clicking.

Manually creating M&A or fundraising folders inside a VDR or cloud drive is slow, easy to misnumber and hard to review before files arrive. Starting from a spreadsheet index lets you stage an audit-ready structure, share it with advisers and only then commit to a final permission plan.

  • Consistent numbering. Two-digit prefixes stay sortable as the request list grows.
  • Reviewable before files arrive. Advisers can sign off on the structure before documents are collected.
  • Mappable to a request list. Every buyer or investor request has a clear destination folder.
  • Portable to any VDR. Export a ZIP skeleton, then upload to your VDR or cloud workspace for permission planning.

Excel-first vs build-in-VDR

Two ways to set up a data room.

Excel/CSV index → ZIP skeleton

Start from the request list, generate folders here, then upload to your VDR or cloud share. Quick to iterate, easy to review with advisers and reusable across deals.

Building folders directly inside a VDR

Works, but harder to standardise across deals, slower to clean if the structure changes and less friendly to non-VDR reviewers who want to see the index in a spreadsheet first.

Data Room Builder is the folder-structure step. It does not replace the access controls, audit trails or Q&A features of a VDR.

FAQs

Common questions about the upload tool

What file formats does Data Room Builder accept?

Excel (.xlsx) and CSV are both supported. The fastest setup is a sheet with Level 1, Level 2 and Level 3 columns (and optional Notes) so each row becomes one folder path in the exported tree.

Does my file leave the browser?

The folder index is parsed in the browser to generate the preview. Use the on-screen editing tools to remove or rename anything sensitive before exporting the ZIP skeleton.

Can I edit the structure after uploading?

Yes. The preview lets you rename folders, reorder rows and delete sections before exporting. Use this step to clean inconsistent labels from the original request list.

What does Data Room Builder export?

A ZIP file with an empty folder skeleton that mirrors the levels in the index. Upload the ZIP into your VDR, cloud drive or local share and start collecting documents against the structure.
